Dear Sierra Crest Member,


You are invited to attend the Sierra Crest Special Member's Meeting.

Agenda

1.) Establish Quorum (30% of all members required).

2.) Vote on the installation of the security camera system purchased in December 2024. The vote required to pass is 67% of the members attending or voting via proxy at the meeting. 

3.) Discuss Rick Francis' Motion to the Court to Appoint a Receiver (see attached) and its financial impact on the HOA.

Ballot and Counting

BALLOT:

Attached you will find the ballot you will need to print, fill out and bring to the meeting to vote.  If you are not able to attend, but want to vote via proxy, you must also print the ballot AND the proxy form and give it to your proxy. Be sure both forms are filled out and signed. 


NOTE: Each member must submit an individual ballot for each property owned that pays dues. In other words, if you own 3 properties and pay 3 dues, then submit 3 separate sheets signed with the individual address of each property you own.  Please Do NOT submit one ballot with 3 addresses as this only creates confusion and may lead to your votes not being properly counted. 


COUNTING:  The Board has agreed that to avoid any confusion as to whether the votes are properly counted, we will have 3 separate independent counters - Oscar Rico from Dana Properties, Mrs. Ruth Ojeda and Dr. Ann Gates.  Each will count the ballots submitted independently and until ALL 3 agree on the counts, the result will not be announced. If they disagree on the results they will need to recount again at the meeting. Once ALL 3 DO agree and the results are unanimous, then the official count and result will be announced at the meeting.

Proposed Motion - Item 2

“In pursuit of defending The Sierra Crest Homeowners Association against the current lawsuits filed by Mr. and Mrs. Francis, causes 2025DCV0016 and 2024DCV4431, related to the 2023 common area land sale and two residential lots sale, the 2024 chain link fence and the December 2024 election and any other related matters, the Board of Directors hereby designates that full access to and contact with Defense Counsel GRSM in matters related to strategy, communications, attorney-client privilege, and attorney-client work product, is strictly limited to Board Members on the Legal Committee - current members are Alex Barron and Margarita Villalobos.  The Legal Committee will also now include Jorge Sanchez. By the same token Board Members past, present or future, who were involved in approving the 2023 land sale or fence to Mr and Mrs Francis are hereby excluded from any direct contact with Defense Counsel GRSM to avoid any appearance of a conflict of interest. The purpose of this resolution is to ensure the members involved exercise the proper fiduciary duty and provide the utmost duty of care in upholding the HOA’s covenants, restrictions and bylaws.”


Proposed Motion - Item 3

“To set a date within the next 45 days for a general members meeting and to hold a new election along with processes to count the votes to settle any concerns regarding the support for installing the security cameras purchased after the December 2024 meeting where they were approved by the members but were subsequently not installed due to a couple of Board members arguing the necessary % votes to install the cameras were insufficient according to the bylaws.”

The Board will be meeting to discuss and vote on authorizing its defense counsel Gordon Rees Scully Mansukhami, LLP to submit counter claims related to two items in litigation vs. L Frederick Francis and Ginger Francis.


1.) Request to Void Election Results from Annual Meeting Held on December 14, 2024

2.) Request to Void Sale of Land to Plaintiffs on March 3, 2023 due to lack of Authority by Board to sell such land.


Plaintiffs have questioned whether the Board authorized such counterclaims. This meeting is to establish the fact that the Board is authorizing such counterclaims in a formal special meeting of the Board.


Per Texas Property Code Section 209.0051 special board meetings require notice be given to members at least 72 hours prior to the start of a special board meeting via email and website. This has been fulfilled.
